Addendum – United States of America (US)
This Addendum supplements and forms an integral part of the Master Terms of Service of Global Vision Direct Ltd t/a Artisan Furniture (“Seller”). Where there is any inconsistency, this Addendum prevails for all transactions conducted through the Seller’s United States operations, including its website www.artisanfurniture.us and fulfilment centres located in Fairview, New Jersey (East Coast) and Compton, California (West Coast).
1. Governing Law & Jurisdiction
1.1 These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.
1.2 The federal and state courts located in New York County, New York shall have exclusive jurisdiction over disputes arising under this Addendum.
2. Warehouses & Fulfilment
2.1 Goods for US customers are dispatched from the Seller’s fulfilment centres in Fairview, New Jersey and Compton, California.
2.2 Risk in the Goods passes to the Buyer upon handover to the nominated carrier at the fulfilment centre. Title passes only upon receipt of cleared payment in full.
2.3 Delivery times are indicative and not of the essence. The Seller bears no liability for port congestion, customs delays, trucking shortages, or state-level regulatory delays.
3. Pricing & Currency
3.1 All prices on www.artisanfurniture.us and related portals are quoted in US Dollars (USD), exclusive of applicable state or federal taxes.
3.2 Buyer is responsible for all federal, state, and local taxes, including but not limited to sales tax, use tax, and excise duties.
3.3 Where Seller is legally obliged to collect sales tax, such amounts will be itemised and added at checkout. Buyer indemnifies Seller against any liability arising from Buyer’s misreporting or underpayment of taxes.
4. US Compliance
4.1 Exclusion of UCC Warranties. Any implied warranties under the Uniform Commercial Code (UCC), including merchantability and fitness for purpose, are expressly excluded to the fullest extent permitted by law.
4.2 Consumer Law Exclusion. No federal or state consumer rights or “cooling-off” periods apply, as all contracts are strictly B2B.
4.3 Privacy. The California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) do not apply to B2B transactions except for limited processing of business contact data, which is governed by the Seller’s Privacy Policy.
4.4 Proposition 65. Seller makes no certifications regarding California Proposition 65 (“Safe Drinking Water and Toxic Enforcement Act of 1986”). Buyer bears full responsibility for determining, providing, and maintaining all Proposition 65 warnings when reselling Goods into California.
4.5 Other State Laws. Buyer is responsible for compliance with all relevant state-specific regulations, including furniture labelling, fire safety, packaging, or environmental laws. Seller shall not be liable for Buyer’s non-compliance at state or local level.
5. Returns (US-Specific Procedure)
5.1 All returns must be raised via the Buyer’s trade account portal under “My Returns” within 2 business days of delivery. Email notifications will not be accepted.
5.2 Courier collections are arranged only from the original delivery address. Returns moved to alternative addresses are void.
5.3 Returns must be shipped back to either Fairview, NJ or Compton, CA fulfilment centres, as designated by Seller. Goods returned to the incorrect facility may be refused.
5.4 Refunds, where approved, shall be processed in USD and credited only to the original payment account.
6. Special Notes for US Buyers
6.1 Taxes. Buyer is responsible for all federal and state tax compliance, including resale certificates, sales tax nexus obligations, and reporting requirements.
6.2 Consumer Protection Exclusion. Federal and state consumer laws (including FTC consumer warranty provisions) are excluded in their entirety.
6.3 Import Tariffs. Buyer acknowledges that US import tariffs on wooden furniture may be subject to increases up to 25–50%. Any such tariffs, duties, or surcharges are the Buyer’s sole responsibility.
6.4 Fulfilment Centres. Seller’s dual-coast warehousing (Fairview, NJ and Compton, CA) is for logistical efficiency only. Buyer remains liable for compliance with local delivery rules, surcharges, and carrier restrictions.
Must be construed together with the Master Terms & Conditions.
Applies concurrently with the applicable Regional Addendum.
Constitutes an incorporated part of the Compliance & Policies Hub obligations.
